Die Mobility Hub Parkservice Switzerland GmbH mit Sitz in Stans (CHE-202.380.105), im Folgenden „Betreiberin“ genannt, erbringt Parkraummanagement-Leistungen für Parkplätze oder Parkhäuser (im Weiteren jeweils „Parkfläche“) mittels einer Lösung für schrankenfreies digitales Parkraummanagement, basierend auf einer automatisierten Kontrollschilderkennung bei Ein- und Ausfahrt aus der Parkfläche.
Die folgenden Allgemeinen Geschäfts- und Nutzungsbedingungen („AGB“) gelten in ihrer zum jeweiligen Zeitpunkt gültigen Fassung ausschliesslich für die Nutzung des unter business.mh-parkservice.com erreichbaren Business-Parking-Portals (im Weiteren: „Business-Parking-Portal“) der Betreiberin, und den Vertrieb bzw. die Abrechnung von Parkleistungen über das Business-Parking-Portal.
Die Betreiberin empfiehlt, diese AGB sowie die weiteren Rechts- und Vertragstexte zur Dokumentation des jeweiligen Geschäftsvorfalls eigenständig auszudrucken oder abzuspeichern.
Eine umfassende Speicherung der Vertragstexte zum jeweiligen Geschäftsvorfall findet durch die Betreiberin nicht statt.
1.1 Zur Nutzung des Business-Parking-Portals berechtigt und „Kunde“ im Sinne dieser AGB sind ausschliesslich gewerbliche Mieter, also natürliche oder juristische Personen, die Leistungen im Rahmen einer beruflichen oder gewerblichen Tätigkeit erbringen.
1.2 Die vorliegenden AGB gelten (a) für die Nutzung des Business-Parking-Portals durch den Kunden bzw. durch den vom Kunden als zentrale vertretungsberechtigte Kontaktperson für das Business-Parking-Portal eingesetzten Administrator („Administrator“) und (b) für alle Verträge, die der Kunde mit der Betreiberin über die im Business-Parking-Portal bzw. in diesen AGB dargestellten Parkleistungen abschliesst. Als Parkleistungen im Sinne dieser AGB sind alle Produkte und Leistungen zu verstehen, die bei der Betreiberin über das Business-Parking-Portal gebucht werden können oder von der Betreiberin nach Massgabe dieser AGB erbracht werden.
1.3 Einer Einbeziehung eigener Geschäftsbedingungen des Kunden wird hiermit widersprochen, es sei denn, es ist Abweichendes ausdrücklich und schriftlich mit dem Kunden vereinbart worden.
1.4 Nach Massgabe der Beschreibung im Business-Parking-Portal ermöglicht die Betreiberin dem Kunden
1.5 Die aktive Nutzung des Business-Parking-Portals erfordert eine Registrierung und die Anlegung eines Nutzerkontos im Business-Parking-Portal. Hierfür erhält der Kunde von seinem Vermieter oder von der Betreiberin eine Einladungs-E-Mail. Für die Registrierung und Anlage des Nutzerkontos muss der Administrator mindestens folgende Angaben für den Kunden machen: Firmenname, Name Administrator, E-Mail, Strasse und Hausnummer, Postleitzahl, Stadt. Für die Registrierung und Anlage des Nutzerkontos ist die Hinterlegung einer Zahlungsmethode obligatorisch.
1.6 Zur Bestätigung der Anmeldung erhält der Administrator einen Aktivierungslink an die von ihm angegebene E-Mail zugesandt, den er zum Abschluss seiner Registrierung für den Kunden betätigen muss (sogenanntes „Double-Opt-In-Verfahren“).
1.7 Alle Angaben des Kunden müssen wahrheitsgemäss erfolgen. Ändern sich bei der Registrierung anzugebende Daten, ist der Kunde verpflichtet, diese unverzüglich im jeweiligen Nutzerkonto über die Einstellungen im Business-Parking-Portal zu berichtigen. Der Kunde sorgt stets für eine ausreichende Deckung der von ihm hinterlegten Zahlungsmethode. Kommt der Kunde diesen Pflichten nicht nach, ist die Betreiberin berechtigt, die ihr entstehenden Mehraufwendungen und Kosten (z.B. für eine Adressauskunft, Rücklastschrift etc.) in Rechnung zu stellen.
1.8 Eine Kontaktaufnahme mit der Betreiberin kann per Post an Mobility Hub Parkservice Switzerland GmbH, Obere Spichermatt 12, 6370 Stans, Tel.: +4121 5613630, info@mh-parkservice.ch, erfolgen.
2.1 Der Kunde muss bei Registrierung des Nutzerkontos in den Rechnungsdetails zwingend eine gültige Zahlungsmethode hinterlegen und verifizieren lassen. Mit Abschluss der Registrierung kann der Kunde maximal die im Business-Parking-Portal genannte Anzahl von berechtigten Kontrollschildern eingeben. Die bargeldlose Abrechnung und Bezahlung von Übernutzungen erfolgt im Anschluss nach Massgabe von Ziff. 6 automatisch über das Nutzerkonto des Kunden und das gewählte Zahlungsmittel des Kunden.
2.2 Mit Abschluss der Registrierung autorisiert der Kunde die Betreiberin zur Abrechnung aller mit den von ihm angegebenen Kontrollschildern durchgeführten Übernutzungen. Dem Kunden ist bewusst, dass bei Hinterlegung der Kontrollschilder im Business-Parking-Portal alle Nutzungsvorgänge auf der Parkfläche, die mittels Fahrzeugen mit von ihm angegebenen Kontrollschildern durchgeführt werden und über die Anzahl der von ihm genutzten Stellplätze hinausgehen, über das von ihm hinterlegte Zahlungsmittel abgerechnet werden.
2.3 Der Kunde wird darauf hingewiesen, dass für von ihm hinterlegte Kontrollschilder eine Bezahlung an einem ggfs. auf der Parkfläche vorhandenen Parkautomaten nicht möglich ist.
3.1 Der Kunde muss bei Registrierung des Nutzerkontos in den Rechnungsdetails zwingend eine gültige Zahlungsmethode hinterlegen und verifizieren lassen. Mit Abschluss der Registrierung kann der Kunde maximal die im Business-Parking-Portal genannte Anzahl von berechtigten Kontrollschildern eingeben. Die bargeldlose Abrechnung und Bezahlung der Parkraumnutzung erfolgt im Anschluss nach Massgabe von Ziff. 6 automatisch über das Nutzerkonto des Kunden und das gewählte Zahlungsmittel des Kunden.
3.2 Mit Abschluss der Registrierung autorisiert der Kunde die Betreiberin zur Abrechnung aller mit den von ihm angegebenen Kontrollschildern durchgeführten Parkvorgängen. Dem Kunden ist bewusst, dass bei Hinterlegung der Kontrollschilder im Business-Parking-Portal alle Nutzungsvorgänge auf der Parkfläche, die mittels Fahrzeugen mit von ihm angegebenen Kontrollschildern durchgeführt werden, über das von ihm hinterlegte Zahlungsmittel abgerechnet werden.
3.3 Der Kunde wird darauf hingewiesen, dass für von ihm hinterlegte Kontrollschilder eine Bezahlung an einem ggfs. auf der Parkfläche vorhandenen Parkautomaten nicht möglich ist.
4.1 Werden im Business-Parking-Portal von der Betreiberin Festpreistickets angeboten, stellt dies kein rechtlich bindendes Angebot zum Vertragsabschluss dar, sondern eine Aufforderung an den Kunden zur Abgabe eines verbindlichen Vertragsangebotes.
4.2 Die rechtsverbindliche Abgabe des Kaufangebotes durch den Kunden erfolgt über das ausgewählte Festpreisticket und durch das Anklicken des Buttons „Zahlungspflichtig bestellen“. An dieses Kaufangebot ist der Kunde vierzehn Tage ab Abgabe der Buchung gebunden. Die Betreiberin ist bis zur Annahme berechtigt, das Kaufangebot des Kunden abzulehnen.
4.3 Der Vertrag kommt erst mit Zugang der Annahmeerklärung durch die Betreiberin zustande. Unmittelbar nach Eingang der Buchung durch den Kunden wird durch die Betreiberin eine Buchungsbestätigung (Zahlungsbeleg) an die durch den Kunden hierfür im Business-Parking-Portal oder bei der Bezahlung hinterlassene E-Mail-Adresse gesendet. Diese Buchungsbestätigung dient sowohl der Dokumentation der Buchung und der Erfüllung der gesetzlichen Pflichten durch die Betreiberin (Art. 3 Abs. 1 lit. s UWG) als auch der Vertragsannahme durch die Betreiberin.
4.4 Sobald der Rechnungsbetrag bei der Betreiberin gutgeschrieben ist, erhält der Kunde nach erfolgreicher Buchung eine Bestätigung per E-Mail an seine im Business-Parking-Portal von ihm angegebenen oder in seinen bei der Betreiberin gespeicherten Kundendaten bereits hinterlegten E-Mail-Adresse. Ein postalischer Versand der Festpreistickets ist nicht möglich.
4.5 Soweit im Business-Parking-Portal nicht abweichend angegeben, hat der Kunde keinen Anspruch auf Zuweisung eines bestimmten Stellplatzes auf der Parkfläche. Der Kunde erhält lediglich eine Berechtigung zur Nutzung der Parkfläche für die Dauer des Festpreistickets mit einem von ihm als berechtigt hinterlegten Kontrollschild.
5.1 Der Kunde ist für die Einhaltung dieser AGB, auch durch den von ihm benannten Administrator, verantwortlich.
5.2 Dem Kunden ist bewusst, dass die korrekte Angabe von Kontrollschildern wesentlich für die ordnungsgemässe Berechtigungsprüfung und Abrechnung von Parkvorgängen ist. Der Kunde stellt die Betreiberin von allen Ansprüchen Dritter und etwaigen Schäden frei, die aufgrund einer falschen Eingabe eines Kontrollschilds durch den Kunden entstehen. Der Kunde kann über das Business-Parking-Portal Kontrollschilder selbstständig deaktivieren oder ändern. Während aktiver Parkvorgänge sind die von ihm hinterlegten Kontrollschilder jedoch gesperrt.
5.3 Die Buchungsabwicklung und Kontaktaufnahme finden in der Regel per E-Mail im Rahmen einer automatisierten Buchungsabwicklung statt. Der Kunde hat daher bei Anlage des Nutzerkontos eine gültige E-Mail-Adresse anzugeben, unter welcher die von der Betreiberin versandten E-Mails empfangen werden können. Insbesondere obliegt es auch dem Kunden dafür zu sorgen, dass der Zugang der von der Betreiberin versandten E-Mails nicht durch den Einsatz eines Spam-Filters oder ähnlicher technischer Einrichtungen beeinträchtigt wird.
5.4 Der Kunde wird das Nutzerkonto sowie das Passwort oder andere Zugangsdaten, mit Ausnahme des Administrators und der von ihm benannten Benutzer, keinen Dritten überlassen, insbesondere nicht mit solchen teilen. Der Kunde hat dafür Sorge zu tragen, dass die Nutzung von kostenpflichtigen Leistungen unter Verwendung des Nutzerkontos ausschliesslich durch den Administrator und die autorisierten Benutzer erfolgen.
5.5 Der Kunde versichert, die Betreiberin unverzüglich zu informieren, wenn Kenntnis oder Anlass zur Besorgnis besteht, dass ein unbefugter Dritter Kenntnis vom Passwort des Nutzerkontos erlangt hat oder ein Passwort bzw. das Nutzerkonto unautorisiert genutzt wird.
6.1 Die angegebenen Preise im Business-Parking-Portal der Betreiberin verstehen sich brutto, also inklusive der gesetzlichen Mehrwertsteuer.
6.2 Bei der Abrechnung von Übernutzungen richtet sich die für den jeweiligen Parkvorgang geschuldete Übernutzungsgebühr nach den zum jeweiligen Zeitpunkt gültigen Preisen, die dem Kunden über das Business-Parking-Portal kenntlich gemacht wurden. Die Übernutzungsgebühr wird mit Abschluss des jeweiligen Parkvorgangs erhoben und monatlich im Nachgang über das vom Kunden hinterlegte Zahlungsmittel eingezogen. Der Kunde erklärt hiermit sein Einverständnis mit der Abbuchung.
6.3 Fest vermietete Stellplätze werden dem Kunden im Voraus in Rechnung gestellt und über das vom Kunden hinterlegte Zahlungsmittel eingezogen. Der Kunde erklärt hiermit sein Einverständnis mit der Abbuchung.
7.1 Die Betreiberin haftet dem Kunden gegenüber in allen Fällen vertraglicher und ausservertraglicher Haftung nur bei Vorsatz und grober Fahrlässigkeit nach Massgabe der gesetzlichen Bestimmungen auf Schadensersatz oder Ersatz vergeblicher Aufwendungen. In allen übrigen Fällen ist die Haftung der Betreiberin vorbehaltlich Ziff. 7.2 ausgeschlossen. Insbesondere erfolgen das Parkieren und das Begehen der Parkflächen auf eigene Gefahr, und die Betreiberin haftet nicht für Parkschäden oder Gegenstände, die im Fahrzeug hinterlassen werden.
7.2 Die Haftung der Betreiberin für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit bleibt vorbehalten.

Die Betreiberin hat an Bildern, Filmen und Texten des Business-Parking-Portals urheberrechtlich geschützte Rechte oder an Bildern, Filmen und Texten Dritter ein Nutzungsrecht. Eine Verwendung dieser Bilder, Filme und Texte durch Dritte bedarf daher stets einer Anfrage bei der Betreiberin.
10.1 Der Vertrag nach Massgabe dieser AGB unterliegt ausschliesslich materiellem Schweizer Recht unter Ausschluss des UN-Kaufrechts. Vertragssprache ist deutsch.
10.2 Ausschliesslicher Gerichtsstand ist der Sitz der Betreiberin für alle sich aus diesen AGB unmittelbar oder mittelbar ergebenden Streitigkeiten.
10.3 Sollten eine oder mehrere Bestimmungen dieser AGB unwirksam oder nichtig sein oder werden oder eine Lücke enthalten, so bleibt die Wirksamkeit der sonstigen Regelungen unberührt. Die Parteien verpflichten sich, anstelle der unwirksamen oder nichtigen Bestimmung eine wirksame Regelung zu vereinbaren, die dem am nächsten kommt, was nach dem Sinn der unwirksamen oder nichtigen Bestimmung von den Parteien beabsichtigt war.

Mobility Hub Parkservice Switzerland GmbH, with its registered office in Stans, Switzerland (CHE-202.380.105), hereinafter referred to as the "Operator", provides parking management services for parking lots and parking garages (each hereinafter a "Parking Facility") by means of a barrier-free digital parking management solution based on automated license plate recognition upon entry to and exit from the Parking Facility.
The following General Terms and Conditions of Business and Use ("GTC"), in the version valid at the relevant time, apply exclusively to the use of the Operator's Business Parking Portal accessible at business.mh-parkservice.com (hereinafter: the "Business Parking Portal") and to the sale and billing of parking services via the Business Parking Portal.
The Operator recommends that these GTC and the other legal and contractual texts documenting the respective transaction be printed out or saved independently. The Operator does not comprehensively store the contractual texts relating to the respective transaction.
1.1 Only commercial tenants are entitled to use the Business Parking Portal and qualify as a "Customer" within the meaning of these GTC, i.e. natural or legal persons who provide services in the course of a professional or commercial activity.
1.2 These GTC apply (a) to the use of the Business Parking Portal by the Customer or by the administrator appointed by the Customer as the central contact person authorized to represent the Customer in respect of the Business Parking Portal (the "Administrator"), and (b) to all contracts concluded by the Customer with the Operator concerning the parking services presented in the Business Parking Portal or in these GTC. Parking services within the meaning of these GTC are all products and services that can be booked from the Operator via the Business Parking Portal or that are provided by the Operator in accordance with these GTC.
1.3 The incorporation of the Customer's own terms and conditions is hereby objected to, unless otherwise expressly agreed with the Customer in writing.
1.4 In accordance with the description in the Business Parking Portal, the Operator enables the Customer to:
(i) manage fixed parking space quotas: The Customer may enter and manage authorized license plate numbers for automatic recognition and authorization verification in respect of parking spaces or parking space quotas rented by the Customer from the Operator or from the Customer's landlord. The maximum number of license plate numbers that may be entered is specified in the Business Parking Portal.
(ii) use additional parking spaces and manage instances of excess use: Against payment of an excess use fee based on the applicable tariff stored in the Business Parking Portal at the relevant time, the Customer is entitled to allow vehicles bearing license plate numbers registered by the Customer as authorized to occupy more parking spaces on the Parking Facility than the Customer has rented ("Excess Use"). The license plate recognition system installed on the Parking Facility automatically detects when Excess Use occurs and calculates an excess use fee in accordance with Clause 6.2.
(iii) purchase fixed-price tickets: Where provided for in the Business Parking Portal, the Customer may purchase fixed-price tickets for the Parking Facility for a parking duration determined in advance (e.g. long-term parking tickets (weekly, monthly and annual passes)) for the Parking Facility named in the Business Parking Portal, in accordance with the description in the Business Parking Portal.
1.5 Active use of the Business Parking Portal requires registration and the creation of a user account in the Business Parking Portal. For this purpose, the Customer receives an invitation email from its landlord or from the Operator. For registration and creation of the user account, the Administrator must provide at least the following information on behalf of the Customer: company name, name of the Administrator, email address, street and house number, postal code, and city. The registration and creation of the user account require that a payment method be stored on file.
1.6 To confirm the registration, the Administrator receives an activation link sent to the email address provided by the Administrator, which must be clicked in order to complete the registration on behalf of the Customer (so-called "double opt-in procedure").
1.7 All information provided by the Customer must be truthful. If any of the data required at registration changes, the Customer is obliged to correct such data without undue delay in the respective user account via the settings in the Business Parking Portal. The Customer shall at all times ensure that the payment method stored by the Customer has sufficient funds. If the Customer fails to comply with these obligations, the Operator is entitled to invoice the Customer for any additional expenses and costs incurred as a result (e.g. for an address inquiry, returned direct debit, etc.).

2.1 Upon registration of the user account, the Customer must store and have verified a valid payment method in the billing details. Upon completion of the registration, the Customer may enter no more than the number of authorized license plate numbers specified in the Business Parking Portal. Cashless billing and payment of Excess Use are subsequently carried out automatically via the Customer's user account and the Customer's chosen payment method in accordance with Clause 6.
2.2 Upon completion of the registration, the Customer authorizes the Operator to bill all instances of Excess Use carried out with the license plate numbers provided by the Customer. The Customer is aware that, once the license plate numbers have been stored in the Business Parking Portal, all usage events on the Parking Facility carried out by means of vehicles bearing license plate numbers provided by the Customer that exceed the number of parking spaces used by the Customer will be billed via the payment method stored by the Customer.
2.3 The Customer is advised that payment at any pay station that may be present on the Parking Facility is not possible for license plate numbers stored by the Customer.
3.1 Upon registration of the user account, the Customer must store and have verified a valid payment method in the billing details. Upon completion of the registration, the Customer may enter no more than the number of authorized license plate numbers specified in the Business Parking Portal. Cashless billing and payment of the use of the parking space are subsequently carried out automatically via the Customer's user account and the Customer's chosen payment method in accordance with Clause 6.
3.2 Upon completion of the registration, the Customer authorizes the Operator to bill all parking events carried out with the license plate numbers provided by the Customer. The Customer is aware that, once the license plate numbers have been stored in the Business Parking Portal, all usage events on the Parking Facility carried out by means of vehicles bearing license plate numbers provided by the Customer will be billed via the payment method stored by the Customer.
3.3 The Customer is advised that payment at any pay station that may be present on the Parking Facility is not possible for license plate numbers stored by the Customer.
4.1 Where fixed-price tickets are offered by the Operator in the Business Parking Portal, this does not constitute a legally binding offer to conclude a contract, but rather an invitation to the Customer to submit a binding contractual offer.
4.2 The Customer submits a legally binding purchase offer by selecting the fixed-price ticket and clicking the button "Order with obligation to pay" ("Zahlungspflichtig bestellen"). The Customer is bound by this purchase offer for fourteen days from submission of the booking. The Operator is entitled to reject the Customer's purchase offer at any time prior to acceptance.
4.3 The contract is concluded only upon receipt by the Customer of the declaration of acceptance issued by the Operator. Immediately after receipt of the booking by the Customer, the Operator sends a booking confirmation (payment receipt) to the email address provided by the Customer for this purpose in the Business Parking Portal or at the time of payment. This booking confirmation serves both to document the booking and to fulfill the Operator's statutory obligations (Article 3 paragraph 1 letter s of the Swiss Federal Act against Unfair Competition (UWG)), as well as constituting the Operator's acceptance of the contract.
4.4 As soon as the invoice amount has been credited to the Operator, the Customer receives, following a successful booking, a confirmation by email to the email address provided by the Customer in the Business Parking Portal or already stored in the Customer's data held by the Operator. Postal delivery of fixed-price tickets is not possible.
4.5 Unless otherwise stated in the Business Parking Portal, the Customer has no claim to the allocation of a specific parking space on the Parking Facility. The Customer merely receives an authorization to use the Parking Facility for the duration of the fixed-price ticket with a license plate number registered by the Customer as authorized.
5.1 The Customer is responsible for compliance with these GTC, including compliance by the Administrator appointed by the Customer.
5.2 The Customer is aware that the correct entry of license plate numbers is essential for the proper verification of authorization and the proper billing of parking events. The Customer shall indemnify the Operator against all claims of third parties and any damages arising from the incorrect entry of a license plate number by the Customer. The Customer may independently deactivate or change license plate numbers via the Business Parking Portal. However, the license plate numbers stored by the Customer are locked during active parking events.
5.3 Booking processing and contact generally take place by email as part of an automated booking process. The Customer must therefore provide, upon creation of the user account, a valid email address at which the emails sent by the Operator can be received. In particular, it is also the Customer's responsibility to ensure that receipt of the emails sent by the Operator is not impaired by the use of a spam filter or similar technical measures.
5.4 The Customer shall not make the user account or the password or other access credentials available to any third parties, and in particular shall not share them with any third parties, with the exception of the Administrator and the users designated by the Administrator. The Customer shall ensure that paid services are used via the user account exclusively by the Administrator and the authorized users.
5.5 The Customer undertakes to inform the Operator without undue delay if the Customer becomes aware, or has reason to suspect, that an unauthorized third party has obtained knowledge of the password of the user account or that a password or the user account is being used without authorization.
6.1 The prices stated in the Operator's Business Parking Portal are gross prices, i.e. inclusive of the statutory value-added tax.
6.2 For the billing of Excess Use, the excess use fee owed for the respective parking event is determined in accordance with the prices valid at the relevant time, as made known to the Customer via the Business Parking Portal. The excess use fee is charged upon completion of the respective parking event and collected monthly in arrears via the payment method stored by the Customer. The Customer hereby consents to such collection.
6.3 Permanently rented parking spaces are invoiced to the Customer in advance and collected via the payment method stored by the Customer. The Customer hereby consents to such collection.
7.1 The Operator shall be liable to the Customer for damages or reimbursement of futile expenses in all cases of contractual and non-contractual liability only in the event of intent and gross negligence, in accordance with the statutory provisions. In all other cases, the Operator's liability is excluded, subject to Clause 7.2. In particular, parking on and walking across the Parking Facilities is at the user's own risk, and the Operator is not liable for parking damage or for items left in the vehicle.
7.2 The Operator's liability for damages arising from injury to life, body or health remains reserved.
Information on data protection is available to the Customer at https://www.mh-parkservice.com/ch/datenschutz/.
The Operator holds copyright-protected rights in the images, films and texts of the Business Parking Portal, or holds a right of use in images, films and texts of third parties. Any use of these images, films and texts by third parties therefore always requires a prior inquiry to the Operator.
10.1 The contract governed by these GTC is subject exclusively to substantive Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The contract language is German.
10.2 The exclusive place of jurisdiction for all disputes arising directly or indirectly from these GTC is the registered office of the Operator.
10.3 Should one or more provisions of these GTC be or become invalid or void, or contain a gap, the validity of the remaining provisions shall remain unaffected. The parties undertake to agree, in place of the invalid or void provision, on a valid provision that comes closest to what the parties intended by the invalid or void provision according to its purpose.
